INTEGRATED AROMA INGREDIENTS COMPLEX FID APPROVED

Pursuant to the previous announcement dated 25 April 2013, PETRONAS Chemicals Group Berhad (PCG) and BASF Nederland BV (BASF) have agreed to invest RM1.5 billion in an integrated aroma ingredients complex in Gebeng, Kuantan (“Project”). Subsequently, the Final Investment Decision (FID) has been approved by the Board of BASF-PETRONAS Chemicals Sdn Bhd (BPC).

BPC is the existing joint venture between BASF and PCG; with 60% and 40% shareholding respectively, which operates an integrated complex in Gebeng, Kuantan for the production of acrylic monomers, oxo products and butanediol. The investment by both parties in the Project will be in accordance with their respective shareholdings in BPC.

The Project comprises the development of a Citral and precursor plant complex, which will be integrated with the existing facilities of BPC located in Gebeng, Kuantan. The Project will also include a new world-scale plant to manufacture Citronellol and L-menthol, and will be developed in phases with the first plant expected to come on stream in 2016.

The Project will allow the parties to meet the globally growing demand of customers in the flavour and fragrance industry, especially in Asia.

In addition, the Project is part of PCG’s overall growth strategy, and complements the company’s expansion strategy into specialty chemicals.

Incorporation of New Subsidiary

Pursuant to Paragraph 9.19(23) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, PETRONAS Chemicals Group Berhad (“PCG”) wishes to announce that its wholly-owned subsidiary, PETRONAS Chemicals Marketing Sdn Bhd, has incorporated a subsidiary, PCM (Thailand) Company Limited (“PCMT”) in Thailand on 13 March 2014 under the Thailand Civil and Commercial Code. The Certificate of Incorporation of the Company dated 13th March 2014 was received on 14th March 2014.

The registered capital of PCMT is fixed in the amount of Baht 300 million and the principal activities of PCMT are sourcing and marketing of petrochemical products.

The incorporation of PCMT is not expected to have a material effect on the earnings or net assets of PCG Group for the current financial period ending 31 December 2014. None of the directors or substantial shareholders of PCG or persons connected to them has any interest, direct or indirect in the said incorporation.

The Board of Directors of PETRONAS Chemicals Berhad wishes to announce that the Company had received a notification in writing from Messrs KPMG Desa Megat & Co. informing the Directors of the Company of their intention not to seek for re-appointment as Auditors of the Company at the forthcoming Annual General Meeting due to the streamlining of Messrs KPMG Desa Megat & Co.'s and Messrs KPMG's clients’ portfolio in Malaysia into one single entity i.e. under Messrs KPMG.

The Proposed Change of Auditors is subject to the shareholders’ approval at the forthcoming Annual General Meeting.

Settlement Agreement Between PETRONAS Gas Berhad (PGB) and VCMSB for early termination of Sales and Purchase Agreement for Utilities And Electricity

10 February 2014

The Board of Directors of PETRONAS Chemicals Group Berhad (“PCG”) wishes to announce that Vinyl Chloride Malaysia Sdn Bhd (VCMSB) a wholly owned subsidiary of PCG has agreed in principle to enter into a Settlement Agreement with PETRONAS Gas Berhad (“PGB”), a subsidiary of PETRONAS, for early termination of the Sales and Purchase Agreement (“Agreement”) for Utilities and Electricity (“Transaction”) as a result of VCMSB business discontinuation. The aforesaid transaction is deemed a related party transaction pursuant to paragraph 10.08 of the Listing Requirements.

The proposed settlement amount of RM97.03 million will be payable in 6 equal tranches across the remaining contract years under the Agreement commencing 2016 with final instalment due on 31 December 2021. The amount has already provided for in full in the financial year ended 31 December 2013.

The Audit Committee and the Board of Directors of PCG have reviewed the terms of the Agreement and is satisfied that the terms are fair, reasonable and on normal commercial terms. There are in the best interest of PCG and are not detrimental to the interests of PCG’s minority shareholders. In addition, the Transaction is carried out on an arm’s length basis and does not have any material effect to the financials of PCG.

SAMUR Project – Disruption in the delivery of critical equipment

PCG via its wholly owned subsidiary, PETRONAS Chemicals Fertiliser Sabah Sdn Bhd (PCFSSB), has been notified by its contractor of a fire incident aboard a vessel carrying equipment bound for the Sabah Ammonia and Urea (SAMUR) Project. The incident has caused the disruption in the delivery of critical equipment to be used in the project, consequently leading to potential project execution delays. Detailed investigations are currently in progress to ascertain the cause of the incident and the impact of the disruption to the project.

Disruption of production at PETRONAS Chemical (PC) Methanol 2

10 January 2014

In ensuring continuous feedstock supply from upstream to PC Methanol Plant 2, the Group is working closely with the supplier to secure additional feedstock.

In order to meet this objective, the supplier is conducting offshore technical works at the upstream facilities. Due to unforeseeable circumstances, the shutdown period to complete the project has to be extended, which resulted in the feedstock supply to PC Methanol Plant 2 being disrupted.

The Group has taken steps to minimise the impact and expects the upstream activities to be completed soon.

The financial impact to the Group is expected not to be material.

On 6 December 2013, there was an interruption in the supply of utilities which affected production at PCG's main cracker and its related downstream facilities, as well as its aromatics and ammonia plants. The Group has taken immediate steps to minimise the impact and expects to resume production within this week.

The financial impact to the Group is expected not to be material.

Announcement: Interruption of propylene production in PC MTBE Sdn. Bhd.

One of our facilities in PC MTBE Sdn Bhd, is currently undergoing maintenance activities. Due to extended shutdown period, our supply of propylene to our associate company, BASF PETRONAS Chemicals is affected. Consequently, BASF PETRONAS Chemicals has issued Force Majeure notice to its customers today. The operations will resume as soon as the maintenance work is completed. Announcement : PETRONAS and BASF Signs "Heads of Agreement" for development of New Project in Pengerang

On 5th March 2012, PETRONAS and BASF entered into a "Heads of Agreement" (HOA) for the development of new project in Pengerang, Johor. This is further to the Memorandum of Understanding (MOU) signed between PETRONAS and BASF, on 6th December 2010, to undertake joint feasibility study on expansion of specialty chemicals in Malaysia.

Under the terms of the HOA, PETRONAS and BASF have agreed on the development of production facilities for isononanol, highly reactive polyisobutylene, non-ionic surfactants, methanesulfonic acid, and plants for precursor materials, within the proposed Refinery & Petrochemical Integrated Development (RAPID) complex in Pengerang, Johor.

The MOU signed on 6th December 2010 by our parent PETRONAS and BASF, also provides for potential expansion of existing facilities in Kuantan. In this regard, we are pleased to share that PETRONAS Chemicals Group Berhad and BASF, the joint venture partners of BASF PETRONAS Chemicals Sdn Bhd (BPC), are making progress with the feasibility study to expand BPC's C3 value chain with a new plant for superabsorbent polymers, as well as to expand the production capacity of their existing glacial acrylic acid unit.

Announcement: Unplanned shutdown of Ethylene Malaysia Sdn. Bhd. due to power supply interruption

On the 3rd of November 2011, Ethylene Malaysia Sdn. Bhd. (EMSB) experienced momentary power supply interruption. Due to the sudden shutdown we require approximately 2 weeks to recommence operations as per technical requirements. During this period, EMSB will not be producing ethylene; consequently it will also impact our production of LLDPE and HDPE. The impact to the Group has been minimised by leveraging on our integrated value chain.
